I actually just got my articles of organization back from the secretary of state for my LLC two days ago. I did the entire thing through www.legalzoom.com since you answer some generic questions when applying and, through that, they generate a custom operating agreement for you.
The DBA is super-easy like ferg said -- just fill out a quick form at the county clerks office (bring your employers identification number & articles of incorporation/organization) and also you have to file it for 4-6 weeks (i assume it varies depending on the state/county?) in a local newspaper. When i did this there were lotza dudes outside the county clerk's office just soliciting this type of service for ppl filing fictitious business licenses. Good luck! -=Brian |

I just did an "S" corp. I need to finish filling out all of the paper work next week.
I now officialy work for myself. Kind of a nice feeling.

As a sole proprietorship you don't need an EIN unless you have employees -- generally the sole owner, you, would use your personal SS# (instead of an EIN) to reference your business. But if you've already got one you're ahead of the game...
As far as articles of organization/incorporation -- these are only needed for LLCs and corporations, respectively. The major benefit of starting a sole proprietorship as opposed to an LLC or corporation is that you don't have as much red-tape (forms, legalities, etc.) and fees associated with running one. However, you won't get the liability or tax perks either. You'll still need to file the necessary DBAs, get a city/county tax registration certificate, and a business license/seller's permit as applicable. Hope this helps... -=Brian |
